1 Introduction
1.1 These are the general terms of use (‘Terms’) that apply to https://services.global.ntt/en-us/ and any other site or mobile application or software program running on a web server accessed through a web browser that references or links to these Terms (‘Site’).
1.2 Please read these Terms carefully before using the Site. By accessing or using the Site you accept and agree to these Terms. If you do not agree to these Terms, please do not use the Site.
1.3 The Site is operated by NTT Ltd and its affiliates (‘NTT DATA’, ‘us’ and ‘we) and includes information created and published by NTT DATA and third parties (‘Content’), such as text, images, photographs, graphics, audio and video and computer code.
2 Changes to Terms
2.1 We may change these Terms at any time. If we do, we will update the ‘Version’ and ‘Published Date’ information at the bottom of these Terms. We encourage you to regularly review these Terms as your continued access or use of the Site will be deemed to be your acceptance of the amended Terms.
3 Creating an account and accessing the Site
3.1 When accessing the Site for the first time, you may be prompted to create a username and password to access the Site (‘Credentials’).
3.2 You are responsible for keeping your Credentials confidential.
3.3 If you have been granted access to the Site in error, please contact us immediately and do not access the Site and/or download any Content from the Site.
4 Permissible use and restrictions
4.1 NTT DATA grants you a non-exclusive, non-transferable, revocable license to access and use the Site in accordance with these Terms.
4.2 You may use the Site, and any Content provided on the Site only for lawful purposes and in compliance with these Terms.
4.3 You agree not to use the Site and/or Content in any way that:
(a) is unlawful or otherwise breaches any applicable local, national or international law or regulation;
(b) infringes, misappropriates or violates anyone’s rights including intellectual property rights;
(c) is offensive, harmful or inappropriate;
(d) harvests, collects, or stores data and/or personal data of other users;
(e) attempts to copy, modify, reproduce, or create a derivative work of any Content;
(f) reverse engineers, decompiles or discovers the software source code of the Site, including any algorithms (except to the extent this restriction is prohibited by applicable law);
(g) interferes with or disrupts the software, networks and cloud services which support the Site;
(h) transmits any software designed to disrupt, damage, or gain unauthorised access to computer systems (‘malicious software’ or ‘malware’) such as viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, ransomware, adware or any other harmful programs or similar computer code;
(i) uses any technology (including spiders, crawlers, bots, and similar virtual agents) to search or gain any information from the Site unless we have given you permission to do so; and
(j) bypasses or breaks any protective measures or safety controls we put on the Site.
5 Intellectual property
5.1 NTT DATA is the owner or the licensee of all intellectual property rights in the Site and any Content. The Site and Content is protected by copyright laws and treaties around the world. NTT DATA retains all rights, title, and interest in and to the Site, including all associated intellectual property rights.
5.2 Content available on the Site may include the logos, trade names, or trademarks of NTT DATA or third parties. Any logos, trade names, or trademarks are the property of its respective owner and no person may use them without permission.
5.3 Your use of the Content or the Site does not transfer any intellectual property rights, title, and interest in and to the Content or the Site to you.
5.4 You may not copy, reproduce, republish, upload, post, transmit or distribute any Content without written permission of the respective owner. Where permitted, you must keep all copyright and other proprietary notices intact. Modification of or use of the Content for any other purpose is a violation of the copyright and other proprietary rights of NTT DATA or the respective owners.
5.5 Whenever you make use of a feature that allows you to upload content to the Site, you grant NTT DATA and other users of the Site a limited, perpetual and/or irrevocable licence to use, store and copy that content and to distribute and make it available to third parties.
6 Confidentiality
6.1 Certain Content available on the Site may be meant to be kept private or secret, intended for limited access or disclosure only to authorized individuals or parties (‘confidential’). You may not disclose any confidential Content to any person or entity except for someone who: (a) has a legitimate need to know the Content; (b) has been advised of the confidential nature of the Content; and (c) is bound to NTT DATA by written confidentiality obligations.
7 Personal data and cookies
7.1 Content available on the Site may include information that relates to an identified or identifiable living individual (such as names, addresses, email addresses and identification numbers) (‘personal data’). You must only use personal data in accordance with applicable privacy and data protection laws.
7.2 We will only use your personal data as set out in applicable Privacy Statements and applicable privacy and data protection laws.

8 Links
8.1 Where the Site contains links to other websites and resources provided by third parties, these links are provided for your information only. We are not responsible for anyone else’s website and those links must not be interpreted as approval by us of those linked websites or information you may obtain from them. We have no control over the contents of those websites or resources.
8.2 You may link to our Site, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. You must not establish a link to our Site in any website that is not owned by you.
9 Breach of these Terms
9.1 If you breach any of these Terms or infringe any other person’s rights, we may, in our sole discretion: (a) block you from using the Site; (b) disclose your identity to any third party who is claiming that any content posted or uploaded by you to our Site constitutes a violation of their rights; (c) remove any content you upload; and/or (d) take any steps the law allows or we deem appropriate; without affecting any other rights we may have at law.
9.2 We exclude our liability for all action we may take in response to breaches of these Terms.
9.3 You hereby indemnify, and agree to keep indemnified and defend and hold harmless NTT DATA, NTT DATA’s affiliates and its respective officers, directors, employees, agents, successors and assigns against any and all claims, proceedings or actions, including by data subjects and/or regulatory or supervisory authorities) against NTT DATA and direct losses, liabilities, damages, costs (including legal fees on a full indemnity basis, regulatory fines, penalties and administrative costs) and reasonable expenses incurred by NTT DATA arising out of or in connection with any breach of these Terms by you.
10 Limits to our liability
10.1 The Site is provided ‘as is’. Although we make reasonable efforts to update the information and/or Content on the Site, we do not give any express or implied warranty or make any other promise about the Site.
10.2 Unless otherwise stated by NTT DATA, Content on the site (a) is for informational purposes only and is not a substitute for legal advice; (b) represents current NTT DATA practices which may change without notice; (c) does not create any contractual commitments or assurances from NTT DATA; and (d) may be generated with the assistance of artificial intelligence which may contain errors. The responsibilities and liabilities of NTT DATA to clients are contained in the applicable agreements with clients.
10.3 We will not be liable to you for any loss or damage, whether direct or indirect, consequential or punitive, in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with use of, or inability to use, the Site or any Content.
10.4 We do not exclude or limit in any way our liability to you where it would be unlawful to do so.
11 General
11.1 Monitoring and disclosure. Information transmitted via the internet is susceptible to monitoring and interception. We may monitor your use of the Site in accordance with applicable law and applicable NTT DATA information security policies. We may disclose any information that we deem necessary to comply with applicable law, legal process or governmental request.
11.2 Termination. We may modify, suspend, or terminate the Site, or any part thereof, at any time.
11.3 Entire agreement. The Terms are the entire agreement between the parties on the subject.
11.4 Waiver. We never waive (give up) our rights, even if we allow you any favour or extension of time, or we delay enforcing our rights against you.
11.5 Severability. Any term that is invalid, illegal, or cannot be enforced must be regarded as deleted. The remaining Terms continue as intended.
11.6 Transfer of rights. We may transfer our rights and obligations under these Terms to another organization. We will always tell you in writing if this.
11.7 Law and jurisdiction. These Terms, their subject matter and their formation are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.
